These Terms & Conditions (“Terms”) govern your use of the website operated by Quibyx(“Quibyx,” “we,” “us,” or “our”) and the design, branding, and development services we provide. By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Services

Quibyx provides web design, web development, branding, SEO, and related digital services. The specific scope, deliverables, timeline, and fees for any engagement will be defined in a separate proposal, quote, or agreement (“Project Agreement”) provided to the client.

2. Quotes, Fees & Payments

• All quotes are valid for 30 days unless stated otherwise.
• Unless agreed otherwise, projects require a deposit before work begins, with the balance due according to the milestones set out in the Project Agreement.
• Invoices are payable within the period stated on the invoice. Late payments may pause work.
• All fees are exclusive of applicable taxes unless stated otherwise.

3. Project Scope & Revisions

Each project includes the number of revision rounds specified in the Project Agreement. Requests that fall outside the agreed scope may require additional time and fees, which we will communicate before proceeding.

4. Client Responsibilities

To deliver on time, we rely on the client to provide content, assets, feedback, and approvals promptly. Delays in providing materials or approvals may affect the project timeline. The client is responsible for ensuring that any content or materials supplied to us do not infringe third-party rights.

5. Intellectual Property

Upon full payment, ownership of the final deliverables created specifically for the client transfers to the client, except for third-party assets (such as fonts, plugins, stock media, or libraries), which remain subject to their own licenses. Quibyx retains the right to display the completed work in our portfolio and marketing materials unless agreed otherwise in writing.

6. Confidentiality

Both parties agree to keep confidential any non-public information shared during the course of a project and to use it solely for the purpose of completing the work.

7. Warranties & Disclaimers

We provide our services with reasonable skill and care. However, our website and services are provided “as is” without warranties of any kind, express or implied. We do not guarantee specific results, such as particular search engine rankings, traffic levels, or revenue.

8. Limitation of Liability

To the fullest extent permitted by law, Quibyx shall not be liable for any indirect, incidental, or consequential damages arising from the use of our website or services. Our total liability for any claim shall not exceed the amount paid by the client for the services giving rise to the claim.

9. Termination

Either party may terminate an engagement in writing. If the client terminates a project after work has begun, fees for work completed up to the termination date remain payable. Deposits are non-refundable once work has started.

10. Governing Law

These Terms are governed by the laws of the jurisdiction in which Quibyx operates, without regard to conflict-of-law principles.

11. Changes to These Terms

We may update these Terms from time to time. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
